These Terms of Service ("Terms") govern access to and use of the Owlorai platform and related services (the "Service") provided by Owlorai ("Owlorai," "we," "us," or "our"), currently operated by Dr. Nora Luu and Dr. Huy Nguyen.
The Service is intended exclusively for business use. It is provided to organisations and the individuals who use it on an organisation's behalf ("Customer," "you"), for use within your own business operations. The Service is not directed at, and must not be used by, individual consumers acting outside a business capacity.
By creating an account or otherwise using the Service, you agree to be bound by these Terms on behalf of yourself and the organisation you represent. If you do not agree, do not use the Service.
Owlorai is a software platform that tracks and analyses how AI answer engines (including Claude, Gemini, ChatGPT, and, where enabled, Perplexity) represent your brand and your competitors' brands, across features including prompt tracking, competitor monitoring, product optimisation recommendations, compliance claim-checking, referral attribution, industry sentiment tracking, and AI narrative monitoring (collectively, and as may change over time, the "Service").
Beta status: the Service, or parts of it, may currently be offered as a beta or early-access product. Beta features are provided without warranty of any kind, may change or be discontinued at any time, and are not covered by any service-level commitment.
To use the Service, you must register for an account and provide accurate, complete information. You are responsible for maintaining the confidentiality of your login credentials and for all activity under your account. You must notify us promptly of any unauthorised use of your account.
You represent that you have the authority to bind the organisation you're registering on behalf of to these Terms.
You agree not to:
You are responsible for the prompts, brand names, and competitor names you configure ("Customer Input"), and for ensuring you have the right to submit them.
We may suspend or restrict access, after reasonable notice where feasible, if we reasonably believe you have breached this section.
5.1 Plans. The Service is offered on the following subscription plans, each of which includes a defined set of AI engines, tracking cadence, and number of brands you may track (each a "Brand Limit"):
Current pricing for each plan is published at owlorai.com/pricing and may be updated from time to time in accordance with Section 5.6. Perplexity access, where not included by default on your plan, may be separately gated and enabled at our discretion.
5.2 Billing cycle and payment. Plans are billed monthly in advance, by credit or debit card, via our payment processor. We do not store your full card details ourselves; they are handled directly by our payment processor. You authorise us to charge your payment method for all fees due under your plan.
5.3 Automatic renewal. Subscriptions renew automatically at the end of each billing cycle unless you cancel before the renewal date, in accordance with Section 5.5. By subscribing, you authorise recurring charges to your payment method until you cancel.
5.4 Brand Limits and upgrades. If you attempt to add a brand beyond your plan's Brand Limit, you will be prompted to upgrade to a plan with a higher limit. Upgrades take effect immediately, with the new plan's fees prorated for the remainder of the current billing cycle where applicable. Downgrades take effect at the start of the next billing cycle; if a downgrade would put you over the new plan's Brand Limit, you will need to remove brands to comply before the downgrade takes effect.
5.5 Cancellation. You may cancel your subscription at any time from your account settings, or by contacting hello@owlorai.com. Cancellation takes effect at the end of your current billing cycle; you retain access to the Service until then, and no further charges will be made afterwards.
5.6 Price changes. We may change our pricing from time to time. For existing subscribers, we will give at least 30 days' advance notice of any price increase by email or in-app notice before it takes effect at your next renewal. Continuing to use the Service after a price change takes effect constitutes acceptance of the new price.
5.7 Refunds. Except as required by law, fees already paid are non-refundable, including for partial billing periods, downgrades, or unused access.
5.8 Effect of cancellation or downgrade on data. On cancellation, your access to the Service ends at the close of your current billing cycle. Customer Data associated with your account is retained for 30 days after cancellation, during which you may request an export, after which it will be deleted in accordance with our Privacy Policy's retention terms, except where we're required to retain it by law. On a downgrade, data associated with brands removed to comply with a lower Brand Limit may be deleted rather than retained.
5.9 Non-payment. If a payment fails, we may suspend your access to the Service until payment is successfully made, and may terminate your account if payment remains outstanding for 7 days.
Our IP: the Service, including its software, algorithms, scoring methodologies, designs, and documentation, is and remains the exclusive property of Owlorai. We grant you a limited, non-exclusive, non-transferable licence to use the Service for your internal business operations during your subscription term. No ownership rights are transferred to you.
Your data: you retain all rights to the data and content you input into the Service ("Customer Data," including your Customer Input and any data from third-party accounts you connect, such as GA4). You grant us a licence to access, process, and use Customer Data solely as necessary to provide and improve the Service, and in accordance with our Privacy Policy. We will not use or share Customer Data for any other purpose without your consent, except as described below.
Aggregated data: we may use aggregated and anonymised data derived from use of the Service, which cannot identify you or your organisation, for analysis, benchmarking, industry research, and product improvement.
Feedback: if you provide feedback or suggestions about the Service, you grant us an irrevocable, royalty-free licence to use it for any purpose, without obligation to you.
The Service generates reports, scores, and analysis using outputs from third-party generative AI systems (Claude, Gemini, ChatGPT, and/or Perplexity). These outputs may be inaccurate, incomplete, or out of date, and are provided for informational purposes only. We do not control, and cannot guarantee the accuracy of, third-party AI outputs.
In particular, the Compliance Monitor feature checks AI-generated claims against source content for informational purposes only. It is not, and must not be relied on as, legal, regulatory, financial, or compliance advice. You remain responsible for your own compliance obligations and should seek qualified professional advice where needed.
Our collection and use of personal data is described in our Privacy Policy, which forms part of these Terms. Where we process personal data on your behalf as a data processor, the terms of our Data Processing Addendum, available on request at hello@owlorai.com, apply.
We maintain appropriate technical and organisational measures to protect Customer Data, including access controls and row-level security at the database layer.
The Service integrates with third-party AI providers and, where you choose to connect them, third-party services such as Google Analytics 4. Your use of any connected third-party service is also subject to that provider's own terms. We are not responsible for the availability, accuracy, or practices of third-party services we don't control.
Except as expressly stated in these Terms, the Service is provided "as is" and "as available," without warranties of any kind, whether express or implied, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or completely secure, or that AI-generated outputs will be accurate.
To the maximum extent permitted by law:
Nothing in these Terms limits liability for death or personal injury caused by negligence, fraud, or any other liability that cannot be limited or excluded under English law.
You agree to indemnify and hold Owlorai harmless from any third-party claims, damages, liabilities, and costs (including reasonable legal fees) arising from your breach of these Terms, your misuse of the Service, or your violation of any third party's rights (including in relation to Customer Input you submit).
We may suspend or terminate your access immediately if you breach these Terms, or, once billing exists, fail to pay fees when due. We may otherwise terminate the Service at our convenience with 30 days' notice. You may cancel at any time in accordance with Section 5. On termination, your right to access the Service ends; Customer Data will be deleted or returned in accordance with our Privacy Policy's retention terms, except where we're required to retain it by law.
Each party agrees to keep confidential any non-public information disclosed by the other party in connection with the Service, and to use it only for purposes of performing under these Terms, except where disclosure is required by law.
We may reference your organisation's name and logo factually as a customer of Owlorai in marketing materials, unless you opt out by contacting us at hello@owlorai.com.
We may update these Terms from time to time. We'll update the "Last updated" date above and, for material changes, notify Customers by email or in-app notice. Continued use of the Service after changes take effect constitutes acceptance.
Governing law and jurisdiction: these Terms are governed by the laws of England and Wales, and the courts of England and Wales have exclusive jurisdiction over any dispute arising out of or in connection with them.
Assignment: you may not assign these Terms without our consent; we may assign them in connection with a merger, acquisition, or sale of assets.
Severability: if any provision is found unenforceable, the remaining provisions continue in full force.
No waiver: failure to enforce any provision is not a waiver of our right to do so later.
Entire agreement: these Terms, together with our Privacy Policy (and any DPA or Order Form agreed with you), constitute the entire agreement between us regarding the Service.
Force majeure: neither party is liable for delays or failures caused by events outside its reasonable control.
